These Terms of Service ("Terms") are a binding agreement between you and Stele Inc. ("Stele," "we," "us," or "our") governing your use of our websites (including stele.health), mobile applications, wearable and hearable hardware, and related services (together, the "Service"). By creating an account, purchasing hardware, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information, to keep your account credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use at [email protected].

2. What the Service is (and is not)

Stele provides general-wellness tools: a readiness score, an interpretation layer, trend tracking, and optional self-directed "Experiments" that you may choose to run on yourself, built from wearable signals, self-reported inputs, and optional blood-biomarker data.

The Service is for general wellness and informational purposes only. It is not a medical device and does not provide medical care, diagnosis, treatment, or professional advice of any kind. Your readiness score and any recommendations are wellness metrics and general information, not clinical findings. "Experiments" are optional, self-directed activities you choose to undertake; they are not prescriptions, medical protocols, or instructions from a clinician, and Stele does not direct your care.

3. Not a HIPAA-covered service

In most circumstances Stele is not a HIPAA-covered entity or business associate, and information you provide is generally not protected by HIPAA. See the Privacy Policy for how we handle your data and for the consumer-privacy and consumer-health-data laws that do apply.

4. Medical disclaimer

Read this carefully.

  • The Service is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or another qualified health provider with any questions about a medical condition, medication, supplement, exercise, or diet.

  • Never disregard professional medical advice or delay seeking it because of something you read or received through the Service.

  • Do not use the Service for emergencies. If you think you may have a medical emergency, call 911 (or your local emergency number) or go to the nearest emergency room immediately.

  • Stele does not recommend or endorse any specific test, product, procedure, opinion, or other information that may appear in the Service. Reliance on any information provided by the Service is solely at your own risk.

  • You are responsible for your own health decisions and for consulting appropriate professionals before acting on anything from the Service.

5. Artificial intelligence features and their limitations

The Service uses artificial intelligence (AI), including machine-learning and language models, to interpret data and generate scores, summaries, recommendations, and Experiments. By using AI features you acknowledge and agree that:

  • AI can be wrong. Outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for you, and may occasionally be fabricated or misleading.

  • AI outputs are general-wellness information only, are not medical advice, and do not create any professional relationship.

  • You must use your own judgment and consult a qualified professional before relying on any AI output, especially for health, medication, supplement, exercise, or dietary decisions.

  • To the maximum extent permitted by law, Stele is not liable for any action you take, or fail to take, based on AI outputs, subject to Section 13.

6. Subscriptions, billing, and free trials

Some features require a paid subscription (for example, $19/month or $149/year, or as otherwise presented at purchase).

  • Auto-renewal. Subscriptions automatically renew at the then-current price at the end of each billing period unless you cancel before the renewal date. You authorize us (or the applicable app store) to charge your payment method on a recurring basis until you cancel.

  • Cancellation. You may cancel at any time. If you purchased through the Apple App Store or Google Play, you must manage and cancel your subscription through that store, subject to its rules. Cancellation takes effect at the end of the current billing period.

  • Free trials. If we offer a free trial, we will charge your payment method when the trial ends unless you cancel before then, unless stated otherwise.

  • Price changes. We may change prices; we will give advance notice as required by law, and changes apply to the next billing period.

  • Refunds. Except where required by law or the applicable app-store policy, subscription fees are non-refundable. Purchases made through an app store are subject to that store's refund policy.

  • California and similar auto-renewal laws. Where required, we provide clear disclosures, obtain your affirmative consent to recurring charges, send acknowledgments, and offer an easy online cancellation method.

7. Hardware purchases

If you purchase Stele hardware (for example an in-ear sensing device):

  • General-wellness product. Stele hardware is a general-wellness product, is not an FDA-cleared or approved medical device, and is not intended to diagnose, treat, cure, or prevent any disease or condition.

  • Orders, pricing, and shipping. Orders are subject to acceptance and availability; we may correct pricing errors and cancel orders. Risk of loss passes on delivery to the carrier. Shipping timelines are estimates.

  • Returns and warranty. Any limited warranty and return terms will be provided with the product or at checkout. Except for that limited warranty, hardware is provided "as is" to the fullest extent permitted by law.

  • Safe use and regulatory. Use the hardware only as instructed. It may be subject to FCC and other regulatory requirements; follow all safety instructions provided.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose, or in violation of these Terms.

  • Rely on the Service as a substitute for professional medical care, or use it in a way that could endanger yourself or others.

  • Reverse engineer, scrape, or attempt to extract source code or models, except as permitted by law.

  • Interfere with or disrupt the Service, circumvent security, or access it without authorization.

  • Infringe others' rights or upload unlawful, infringing, or harmful content.

  • Misrepresent your identity or provide another person's data without authorization.

9. Your content and data

You retain ownership of the data and content you provide ("User Content"). You grant Stele a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your User Content as needed to operate and provide the Service to you and as described in the Privacy Policy.

You also agree that Stele may create and use de-identified and aggregated data derived from your use for research, analytics, model improvement, and commercial purposes, as described in the Privacy Policy. We do not sell your identifiable personal or health data. You represent that you have the rights necessary to provide your User Content and that it is accurate to the best of your knowledge.

10. Intellectual property

The Service, including software, models, designs, text, graphics, the Stele name and logos, and all related intellectual property, is owned by Stele or its licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

11. Third-party services and integrations

The Service may integrate with third parties (for example app stores, wearables such as Apple Health, and laboratories). Your use of those services is governed by their terms and privacy policies, and Stele is not responsible for third-party services. Enabling an integration authorizes the exchange of data you designate.

12. Disclaimers of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. Stele does not warrant that the Service will be uninterrupted, error-free, secure, or accurate, that scores or AI outputs will be correct, or that the Service will meet your requirements or produce any particular health outcome. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law:

  • Stele and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising from or related to the Service or these Terms, even if advised of the possibility.

  • Stele's total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid Stele in the twelve months before the claim, or (b) US $100.

  • Nothing in these Terms limits liability that cannot be limited by law (for example, for gross negligence, willful misconduct, or certain personal-injury claims where prohibited by law). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You acknowledge that the disclaimers and limitations in Sections 4, 5, 12, and 13 are essential terms and that Stele would not provide the Service without them.

14. Indemnification

You agree to indemnify and hold harmless Stele and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms or applicable law, or your violation of any rights of a third party.

15. Dispute resolution, arbitration, and class-action waiver

Please read this section carefully. It affects your legal rights.

  • Informal resolution first. Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days.

  • Binding arbitration. Any dispute that is not resolved informally will be resolved by final and binding individual arbitration, administered by a recognized arbitration provider under its consumer rules, rather than in court, except that either party may bring qualifying claims in small-claims court.

  • Class-action waiver. You and Stele agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative action.

  • 30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect the other provisions of these Terms.

  • Exceptions. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

16. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and, where applicable, the U.S. Federal Arbitration Act. Subject to Section 15, any disputes not subject to arbitration will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

17. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive (including Sections 4, 5, 9, 10, 12, 13, 14, 15, and 16) survive termination.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and update the "Last updated" date. Your continued use after an update means you accept the revised Terms. If you do not agree, stop using the Service.

19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Stele regarding the Service.

  • Severability. If any provision is unenforceable, the rest remains in effect.

  • No waiver. Our failure to enforce a provision is not a waiver.

  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Force majeure. We are not liable for delays or failures due to causes beyond our reasonable control.

  • Notices. We may provide notices through the Service or by email. Legal notices to Stele must be sent to the address below.

  • Export and compliance. You agree to comply with applicable export-control and sanctions laws.
